These Terms and Conditions apply to the Millenium Apps website and to the Android applications, products and services provided by Millenium Apps.
By accessing our website or downloading, installing, accessing or using one of our applications, you agree to these Terms and Conditions. Additional terms may apply to particular applications, features, purchases, subscriptions or promotional offers. Where additional terms apply, they form part of your agreement with Millenium Apps.
If any provision of these Terms and Conditions conflicts with specific terms presented to you in an application or during a purchase, those specific terms will apply to the relevant product or transaction.
1. About Millenium Apps
Millenium Apps develops and publishes Android applications, including utility and productivity applications such as alarm clocks, timers, task and to-do tools, flashlights, screen-dimming tools and other applications and services.
The features, availability and pricing of our applications may differ from one application to another.
Some applications or features may be available free of charge, while others may require a subscription or another form of purchase.
2. Acceptance of these Terms
By accessing our website or using one of our applications, you agree to be bound by these Terms and Conditions.
If you do not agree with these Terms and Conditions, you should not use the relevant website, application or service.
Certain applications or features may require you to explicitly accept additional terms before you can access or purchase them.
3. Electronic communications
By using our website or communicating with us electronically, you agree that we may communicate with you electronically, including through our website, our applications or by email where appropriate.
Electronic communications satisfy any legal requirement that such communications be made in writing, to the extent permitted by applicable law.
4. Applications and services
Our applications may provide free features, premium features, optional subscriptions, trials or other forms of access.
The exact features available to you depend on the application you are using and the access rights associated with your installation or purchase.
We may update, modify, improve, replace or discontinue individual features from time to time, subject to applicable law and any rights you have already acquired.
Certain features may require an Internet connection, access to device functions, permissions, or third-party services.
Application availability may also depend on your Android version, device capabilities, manufacturer restrictions, network availability and other technical factors outside our control.
5. Subscriptions and premium access
Some Millenium Apps applications offer optional subscriptions providing access to premium features or functionality.
Subscription availability, pricing, billing periods, included features and offers may vary between applications.
Where a subscription is available, the application will display the applicable subscription options and prices before you complete the purchase.
Subscriptions purchased through Google Play are billed and managed through Google Play’s billing system.
The applicable subscription price, billing period and renewal conditions are those displayed during the purchase process.
Subscriptions may be offered on a monthly, yearly or other billing basis depending on the application and the available subscription plans.
5.1 Automatic renewal
Unless otherwise stated, subscriptions are automatically renewed at the end of each billing period. A subscription free trial, where offered, is part of the subscription and may convert to a paid subscription unless cancelled before the trial ends. The initial Millenium Alarm Plus seven-day free access trial described in Section 6.1 is not a subscription and does not convert automatically into a paid subscription.
At each renewal, Google Play will charge the payment method associated with your Google Play account according to the applicable subscription terms.
You can cancel an automatically renewing subscription at any time through Google Play.
Cancelling a subscription normally prevents future renewals but does not normally terminate access immediately. Subject to applicable law and Google Play’s policies, you generally retain access to the subscribed features until the end of the current paid billing period.
Google Play may provide additional options or rules concerning subscription cancellation, payment recovery, refunds or renewal depending on your country or region.
5.2 Managing or cancelling a subscription
Subscriptions purchased through Google Play can be managed or cancelled through your Google Play account and the Google Play subscription management interface.
Millenium Apps does not require you to continue a subscription in order to use features that are otherwise available without a subscription.
Where applicable, our applications may provide a direct link or other access to the Google Play subscription management interface.
5.3 Payment and failed payments
Payments for Google Play subscriptions are processed by Google Play.
If a renewal payment cannot be completed, Google Play may attempt to recover the payment or apply applicable grace periods or account-hold procedures. Your access to subscription features may be affected if the subscription expires or is otherwise no longer active.
Millenium Apps does not have access to or control over your Google Play payment method.
6. Millenium Alarm Plus — Free Trials
The trial arrangements described in this section apply only to Millenium Alarm Plus. They do not automatically apply to other Millenium Apps applications.
6.1 Initial seven days free access trial
Millenium Alarm Plus may provide eligible users with seven days of full access to the application’s features without requiring the user to purchase or start a subscription.
This initial trial is provided directly by the application and is separate from any subscription offered through Google Play.
At the end of this initial trial, access to features that require premium access may expire unless you subsequently obtain premium access through an available subscription or another applicable entitlement.
Starting or completing this initial trial does not by itself create a paid subscription, does not require payment details, and does not automatically result in a subscription charge.
6.2 Optional subscription free trial
Millenium Alarm Plus may also offer an additional seven-day free trial associated with a subscription purchased through Google Play.
This subscription trial is separate from the initial seven-day free access trial described above.
If you choose a subscription that includes a free trial, the applicable subscription terms, billing period and price will be displayed before you complete the subscription purchase.
Unless you cancel the subscription in accordance with the applicable Google Play terms before the end of the subscription trial, the subscription may automatically convert to the selected paid subscription when the trial ends, and the applicable subscription price may then be charged through Google Play.
Eligibility for the subscription trial, including whether it is available to a particular user, may depend on Google Play’s eligibility rules and the offers available at the time of purchase.
The two seven-day trial periods are separate. Completing or using the initial seven-day free access trial does not itself create a subscription, and the availability of a subscription trial remains subject to the applicable Google Play offer and eligibility conditions.
7. Millenium Alarm Plus — legacy purchases
This section applies only to users who purchased the previous paid version of Millenium Alarm Plus and whose purchase can be verified.
Eligible legacy purchasers may receive a 100-year licence for Millenium Alarm Plus on one device instead of being required to purchase a subscription for that entitlement.
The legacy licence is provided in recognition of the user’s qualifying previous purchase and is separate from any subscription.
The legacy licence:
- applies only to Millenium Alarm Plus;
- is intended for use on one device at a time;
- does not constitute a subscription;
- does not require recurring payments;
- does not automatically provide access to premium features in other Millenium Apps applications; and
- may require verification of the original Google Play purchase.
If a user reinstalls the application or moves the legacy entitlement to another device, Millenium Apps may require verification of the original purchase and may apply technical measures to ensure that the legacy entitlement is associated with only one active device at a time.
A legacy entitlement is not transferable or assignable to another person.
The legacy entitlement described in this section does not create any entitlement to future applications, products or services that are not part of Millenium Alarm Plus.
8. Free access and expiration of premium access
Applications that offer free functionality may continue to be used without a subscription, subject to the features made available by the relevant application.
When a subscription expires or is cancelled and the applicable paid period has ended, premium features associated with that subscription may become unavailable.
Where applicable, users may continue using the free or basic functionality of the application.
The availability of free functionality may vary between applications.
9. Purchases, refunds and right of withdrawal
Purchases and subscriptions made through Google Play are subject to Google Play’s applicable terms, policies and refund procedures, as well as any mandatory rights granted to consumers under applicable law.
Nothing in these Terms and Conditions is intended to exclude or restrict any mandatory consumer rights.
9.1 Right of withdrawal
If you are a consumer in a jurisdiction granting a statutory right of withdrawal, you may have the right to withdraw from a distance contract within the applicable statutory period.
For digital content or digital services, exceptions or modifications to the right of withdrawal may apply once performance has begun, depending on the applicable law and the circumstances of the purchase.
Where required, the application or purchase process will request the applicable consent or acknowledgement before digital content or services are made available immediately.
The precise withdrawal and refund rights applicable to a particular purchase may therefore depend on your country, the type of purchase, whether performance has begun and the applicable Google Play terms.
9.2 Refunds
For purchases made through Google Play, refund requests may generally be handled through Google Play in accordance with Google’s applicable refund policies.
Where applicable law grants you a right to a refund or other remedy, nothing in these Terms limits that right.
10. Intellectual property
Millenium Apps and its licensors own or control the intellectual property rights in our website, applications, software, graphics, designs, text, trademarks and other materials, except where otherwise stated.
Subject to these Terms and any applicable licence, you receive a limited, non-exclusive, non-transferable right to use our applications for their intended purposes on compatible devices.
You may not attempt to uncover, reproduce, modify, or circumvent the internal workings or technical protections of our applications except where such activity is expressly permitted by applicable mandatory law.
Nothing in these Terms prevents you from exercising rights that cannot legally be excluded.
11. Third-party services
Our applications and website may use or interact with third-party services, platforms or software, including Google Play and other services necessary to provide particular functionality.
Third-party services may be subject to their own terms, conditions and privacy policies.
Millenium Apps is not responsible for the independent operation, availability or policies of third-party services that are outside our control.
12. Responsible use
You agree to use our website and applications only for their intended purposes and in accordance with these Terms, applicable law and generally accepted technical and security practices.
You must not:
- use our applications or services for unlawful purposes;
- attempt to circumvent subscription, licence or access controls;
- interfere with the operation or security of our applications or services;
- attempt to obtain unauthorized premium access;
- attempt to uncover, reproduce, modify, or circumvent the application’s internal workings or technical protections; or
- use our services in a way that could damage, disable, overburden or impair their operation.
13. Availability, updates and changes
We make reasonable efforts to maintain our website and applications, but we do not guarantee that they will always be available, uninterrupted or error-free.
Applications may require updates to remain compatible with Android, Google Play or other technical requirements.
We may modify, add or remove features, provided that we respect any rights that you have already acquired under applicable law.
Some features may cease to function if they depend on an operating-system capability, third-party service, device function or other technology that is changed or discontinued.
Nothing in this section limits mandatory consumer rights relating to digital content or digital services.
14. Termination and suspension
We may suspend or terminate access to an application or service where reasonably necessary, including in response to serious violations of these Terms, fraud, unauthorized access, abuse of licensing or subscription systems, or where required by law.
Where appropriate and legally required, we will provide notice before termination or suspension.
Termination or suspension does not affect rights or obligations that by their nature should survive termination.
For subscriptions purchased through Google Play, cancellation and expiration of the subscription are governed by the applicable subscription terms and do not necessarily constitute termination of your Google Play account.
15. Warranties and liability
Our website and applications are provided on an “as available” basis, subject to the rights and warranties that cannot legally be excluded.
We do not guarantee that our website or applications will always be uninterrupted, secure, error-free or compatible with every device or Android version.
To the maximum extent permitted by applicable law, Millenium Apps will not be liable for indirect or consequential losses arising from your use of our website or applications.
Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot legally be excluded or limited under applicable consumer-protection law.
16. Privacy
Our processing of personal data is described in our Privacy Policy.
By using our website or applications, you acknowledge that personal data may be processed as described in the applicable Privacy Policy and any additional notices presented to you.
Our Privacy Policy is available on the Millenium Apps website.
17. Legal compliance
You may not use our website or applications in violation of applicable laws or regulations.
You are responsible for ensuring that your use of our applications complies with the laws applicable to you.
18. Assignment
You may not assign or transfer your rights or obligations under these Terms to another person without our prior written consent, except where such transfer is permitted by applicable law.
Millenium Apps may assign or transfer its rights and obligations where permitted by law, including as part of a corporate reorganization, merger or transfer of assets.
19. Breaches of these Terms
Without prejudice to our other legal rights, if you materially breach these Terms, we may take reasonable measures to address the breach, including restricting access to affected services or pursuing appropriate legal remedies.
Nothing in this section limits your statutory consumer rights.
20. Indemnification
To the extent permitted by applicable law, you agree to be responsible for losses or claims caused by your unlawful use of our website or applications or by your material violation of these Terms.
This provision does not apply to the extent that applicable consumer law prevents such an obligation from being imposed.
21. Waiver
Failure to enforce any provision of these Terms does not constitute a waiver of that provision or of our right to enforce it later.
22. Language
These Terms and Conditions are provided in English and can be downloaded in 19 languages.
Translations may be provided for convenience. Where applicable law requires a particular language or gives precedence to a local-language version, the mandatory legal requirements will apply.
23. Entire agreement
These Terms and Conditions, together with any additional terms expressly presented to you for a particular application, purchase, subscription or service, constitute the agreement between you and Millenium Apps concerning your use of the relevant website, application or service.
They do not override mandatory rights granted to consumers under applicable law.
24. Changes to these Terms
We may update these Terms and Conditions from time to time.
The date at the beginning of this document indicates when it was last updated.
Where changes materially affect your rights or obligations, we will provide notice where required by applicable law.
Your continued use of our website or applications after the effective date of updated Terms may constitute acceptance of the updated Terms to the extent permitted by law.
25. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified or interpreted to the extent necessary to make it enforceable where legally possible.
The remaining provisions will continue to apply.
26. Choice of law and jurisdiction
These Terms and Conditions are governed by the laws of France, subject to any mandatory consumer-protection laws that apply in your country of residence.
Nothing in these Terms prevents a consumer from exercising rights or bringing proceedings in a jurisdiction where mandatory law grants them that right.
